By using the Digital Blueprint website, you’re agreeing to these Terms & Conditions. We’ve written them to be straightforward and easy to understand — not to create barriers, but to set clear expectations for everyone. 1. Using Our Website Responsibly

We’ve built this website to inform, inspire, and connect us with businesses we can genuinely help. We ask that you use it in a spirit of good faith — which, honestly, isn’t a lot to ask.

1.1  What We Ask of You

By visiting and using this website, you agree to:

  • Use it lawfully  —  Don’t use this site for any illegal purpose or in violation of any applicable Canadian or international laws
  • Respect our security  —  Don’t attempt to access restricted areas, probe for vulnerabilities, or interfere with the site’s normal operation
  • Be honest in submissions  —  Any information you submit through forms, bookings, or inquiries should be accurate and genuine

This website is intended for use by individuals who are 18 years of age or older, or who have the consent of a parent or guardian. Our services are designed for businesses and business owners.

3. How Our Client Engagements Work

We love working with businesses, and we want every engagement to be set up for success from day one. That means being clear about how our services are structured.

3.1  Service Agreements Govern Our Work

When you become a client of Digital Blueprint, a separate, written Service Agreement is created that outlines:

  • Project timelines, milestones, and deliverables
  • Fees, payment schedule, and billing terms
  • Performance expectations and reporting cadence
  • Confidentiality and data handling obligations
  • Termination conditions and notice periods

Your Service Agreement is the definitive reference for your engagement. If anything on this website appears to conflict with your agreement, your signed agreement takes precedence.

3.2  Website Content Is Not a Contract

Information on this website — including service descriptions, pricing indications, and package details — is provided for general guidance only. It does not constitute a binding offer or contract. All formal engagements require a signed agreement.

4. Payments, Billing & What Happens If Things Change

We believe in transparent, predictable pricing. Here’s how billing works across our engagements.

4.1  Fees & Payment Schedule

4.2  Late Payments

We understand that things happen. If a payment is late:

  • We’ll send a friendly reminder before taking any action
  • If a payment remains outstanding beyond the grace period in your agreement, service delivery may be paused until it’s resolved
  • Persistent non-payment may result in termination of the engagement under the conditions of your Service Agreement

We’d always rather have a conversation than suspend work — if you’re facing a challenge, please reach out proactively and we’ll do our best to find a solution.

4.3  Refunds & Cancellations

Our approach to refunds

  • Refund eligibility depends on the nature of the service and the stage of delivery — see your Service Agreement for specifics
  • For monthly retainer services: cancellation takes effect at the end of the current billing period with proper notice
  • For project-based work: work completed and delivered is generally non-refundable; we’ll discuss partial refunds for incomplete milestones fairly
  • For onboarding or setup fees: these are typically non-refundable once work has commenced
  • All refund requests are reviewed on a case-by-case basis with fairness and good faith

5. Our Liability — Clearly Defined

We take our work seriously and operate to a high professional standard. At the same time, it’s important to be clear about what we can reasonably be held responsible for.

5.1  What We Are Not Liable For

To the fullest extent permitted by applicable Ontario law, Digital Blueprint and its team members are not liable for:

  • Loss of revenue, profits, or business opportunities arising from the use of our website or services
  • Loss, corruption, or unauthorized access to data
  • Business interruption caused by technical issues, platform outages, or third-party failures
  • Failures or changes in third-party platforms (Google, Meta, HubSpot, Zoho, etc.) that affect service outcomes
  • Decisions made based on information published on this website
  • Any indirect, incidental, or consequential damages of any kind

5.2  Important Carve-Outs — What This Doesn’t Limit

This limitation of liability does not apply to:

  • Fraud or willful misconduct  —  We remain fully accountable for any fraudulent or intentionally harmful acts
  • Gross negligence  —  Significant failures in our duty of care are not covered by this limitation
  • Your statutory rights  —  Nothing here overrides your rights under Ontario’s Consumer Protection Act or other applicable Canadian consumer law
  • Client Service Agreements  —  Liability terms in your signed agreement supersede these general website terms

We are not responsible for the performance, availability, or policy changes of these platforms. If a third-party tool experiences an outage or changes its service in a way that affects your project, we’ll communicate proactively and adapt our approach where possible.

8. If Something Goes Wrong — Let's Resolve It Together

We’d much rather resolve any issue through conversation than through legal proceedings. Here’s our process if a dispute arises.

8.1  Informal Resolution First

If you have a complaint or concern, please contact us directly at contact@digitalblueprint.ca. We commit to:

  • Acknowledging your concern within 2 business days
  • Working with you in good faith to find a fair resolution
  • Escalating to senior team members if the issue isn’t resolved at first contact

8.2  Governing Law & Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada. Any disputes that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of Ontario.

8.3  Mediation

Before initiating formal legal proceedings, both parties agree to attempt resolution through a mutually agreed mediator. This step is not required in cases of urgency or where injunctive relief is being sought.

9. When & Why Access May Be Suspended

We want everyone to have a positive experience on our website. In rare circumstances, access may need to be restricted.

9.1  Our Right to Restrict Access

Digital Blueprint reserves the right to suspend or terminate access to this website — for any user, at any time — if we reasonably believe a user has:

  • Violated any part of these Terms & Conditions
  • Engaged in harmful, fraudulent, or abusive behaviour
  • Attempted to compromise the security or integrity of our site or systems
  • Used our content or brand in an unauthorized or misleading way

9.2  Service Termination for Clients

Termination of client service engagements is governed by your individual Service Agreement, which will specify notice periods, final billing, and offboarding procedures. We handle all terminations professionally and with clear communication — we believe in ending relationships as well as we begin them.

9.3  Survival of Terms

Sections relating to Intellectual Property, Limitation of Liability, Dispute Resolution, and Governing Law will remain in effect even after termination of your use of this website or any services.

10. When These Terms Change

We review these Terms periodically and may update them to reflect changes in how we operate, legal requirements, or our service offering.

  • The “Last updated” date at the top of this page always reflects the most recent revision
  • Significant changes will be flagged on our website and communicated to active clients by email
  • Continuing to use our website after an update means you accept the revised Terms

We’ll always aim to give you reasonable notice before material changes take effect. If a change affects your existing service agreement, we’ll discuss it with you directly.
